1. Purpose

The purpose of this document is to define the terms and conditions governing the provision of training services by Assetivity Pty Ltd (“Assetivity”), including booking, attendance, delivery, and obligations of participants and clients.

2. Scope

This policy applies to:

  • All delivery formats (face-to-face, virtual, hybrid, or digital content)
  • All public and private training courses delivered by Assetivity
  • All participants, clients, and organisations engaging Assetivity services

3. Exceptions

This Terms & Conditions policy applies exclusively to Assetivity’s training services. The following are
explicitly excluded from the scope of this policy:

  • Consulting services provided by Assetivity, including but not limited to consulting, advisory,
    implementation, or project-based engagements.

Where a conflict exists between this policy and a client-specific consulting agreement, the terms of the
executed consulting agreement will prevail.

4. Definitions

  • Booking: Formal registration for a course
  • Client: Organisation or individual purchasing training services
  • Course: Any training program delivered by Assetivity
  • Force Majeure Event: Events beyond reasonable control (e.g., natural disaster, government
    action, system outages)
  • GST: The Goods and Services Tax (GST) is a broad-based 10% value-added tax applied to most
    goods and services sold or consumed in Australia.
  • Materials: Documents, presentations, tools, recordings, and intellectual property provided
  • Participant: Individual attending a training course

  • Services: Training courses, workshops, materials, and associated deliverables
  • Transfers: Transfers refers to moving a booking from one course/date to another instead of
    cancelling it.

Policy Statement

5. Booking and Acceptance

  • Bookings may be made via website, email, or direct engagement.
  • A booking constitutes acceptance of these Terms & Conditions.
  • Assetivity reserves the right to accept or reject bookings at its discretion.
  • All courses are subject to confirmation and require a minimum number of participants to
    proceed.
  • Assetivity communicates with participants via email, and by engaging with Assetivity’s services,
    participants acknowledge and agree that email communications are contractually binding and
    carry legal validity.

6. Fees, Invoices, and Payments

  • All course fees are quoted in AUD and are exclusive of GST unless stated otherwise.
  • Full payment is required 14 days prior to course commencement. Assetivity reserves the right to
    deny access to the course where payment has not been received in full by the due date specified
    in the invoice.
  • Approved existing clients may pay in accordance with the payment terms specified in their
    Purchase Order (PO) or other agreed contractual arrangements, provided such terms have been
    accepted in writing by Assetivity.
  • Discounts may be offered for early bird registrations or multiple participants booked under a
    single organisation or booking.

6.1   Group Discounts

  • Eligibility discount rates and applicable courses will be determined by Assetivity and
    communicated at the time of booking.
  • To qualify, all participants must be confirmed under the same booking and attend the same
    course session, unless otherwise agreed in writing.
  • Group discounts may be combined with other promotional offers (including Early Bird pricing),
    where explicitly permitted by Assetivity. Where multiple discounts apply, they will be applied
    sequentially, not cumulatively. This means each subsequent discount is calculated on the
    reduced price after the previous discount has been applied, rather than on the original price.

6.2   Pricing Adjustments

  • Promotional pricing (e.g., Early Bird) is only valid where a confirmed training booking is received
    prior to the stated expiry date, as published on Assetivity’s website at the time of booking.
  • Where a group booking is changed or cancelled by the client, and results in the number of people
    attending a course falling below the minimum number required for the originally applied
    discount, Assetivity reserves the right to adjust pricing accordingly and reissue the invoice.
  • Assetivity reserves the right to reissue invoices at standard rates where conditions are not met.

6.3   International Payments

  • Assetivity’s course fees are listed in Australian Dollars (AUD). For international participants,
    invoices may be issued exclusive of GST, where applicable under Australian tax requirements.
  • International clients must provide a valid billing address outside Australia at the time of training
    booking. Ensure booking is processed under “Send me an invoice” on the Payment Method field.
    Upon confirmation of booking details and receipt of the required information, Assetivity will issue
    invoices manually reflecting the applicable AUD amount.
  • Any currency conversion into AUD will be processed by the client’s bank or payment provider,
    and any associated fees, exchange rates, or charges are the responsibility of the client. Payment
    may be completed via:
    › International bank transfer (EFT); or
    › Credit card

6.4 Overdue Payment

If the client does not pay the full amount for the training by the due date or prior to course commencement,
Assetivity reserves the right to:

  • Withhold course access or certification
  • Charge reasonable administrative or recovery costs
  • Suspend future bookings

7. Cancellations, Transfers, and Substitutions

Participants may request cancellations, participant replacement or course rescheduling. All requests must
be submitted in writing to training@assetivity.com.au and are subject to approval in accordance with
these Terms & Conditions.
To the maximum extent permitted by law and by any circumstance, Assetivity is not liable for any
additional, indirect, or consequential costs incurred by the client, including but not limited to travel,
accommodation, visas, or other related expenses.

7.1 Participant Cancellations and Changes

Where a participant cancels a course booking, or changes the booking to another course, the following fees
will apply:

  • More than 14 days’ notice: Eligible for a full refund (100%) and no cancellation or change fees
    apply.
  • Between 7 and 14 days’ notice: A cancellation/change fee of 50% of the course fee will apply.
  • Less than 7 days’ notice: No refund will be issued.

7.2   Substitutions

  • A Participant or Client may request to substitute a registered participant with another individual.
  • Substitution requests must be submitted in writing prior to course commencement and are subject
    to Assetivity approval.
  • Upon approval, the course enrolment details and associated records (including attendance and
    certification) will be updated to reflect the substituted participant.
  • Substitute participants must meet all applicable course prerequisites and requirements

7.3   Exceptions (at Assetivity discretion)

  • Documented illness or medical emergency
  • Exceptional circumstances approved by Assetivity
  • Force majeure events affecting attendance

7.4  Course Changes or Cancellation by Assetivity

At its sole discretion, Assetivity reserves the right to re-schedule or cancel any scheduled course. In such
cases, the participants will be offered alternative dates, credit, or a full refund.

8. Participant Obligations And Conduct

Participants must:

  • Attend punctually and engage professionally
  • Follow reasonable instructions from trainers
  • Comply with workplace health and safety requirements
  • Treat others with respect and maintain a professional environment
  • Notify Assetivity of any allergies, dietary requirements, or special requests at least 5 business
    days before the course commencement.

8.1   Behavioural Misconduct

Assetivity reserves the right to remove participants without refund where behaviour:

  • Disrupts delivery
  • Harasses or intimidates others
  • Breaches safety or legal standards

9. Training Completion And Certification

  • Certification (if applicable) will only be issued where:
    › Full attendance requirements are met
    › Required assessments or participation criteria are satisfied
  • Assetivity reserves the right to withhold certification where criteria are not met.

10. Intellectual Property

All right, title, and interest in the services, materials, course content, training outlines, presentations,
workbooks, templates, tools, methodologies, digital resources, website content, branding, logos, graphics,
images, audio, video, downloads, data compilations, and any other content made available by Assetivity
Pty Ltd, remain vested in Assetivity Pty Ltd or its licensors, as applicable. This includes the structure,
selection, arrangement, and compilation of training and website content, together with any improvements,
adaptations, or additional materials developed in connection with the delivery of the services.

Subject to payment of all applicable fees and continued compliance with these Terms & Conditions,
Assetivity Pty Ltd grants each Participant a limited, revocable, non-exclusive, non-transferable, and nonsublicensable permission to access and use the Materials solely for that Participant’s own learning and
reference purposes.

Except as expressly approved in writing by Assetivity Pty Ltd, no part of the services or materials may be
recorded, copied, reproduced, adapted, modified, translated, republished, uploaded, stored, shared,
transmitted, distributed, displayed, sold, licensed, sublicensed, communicated to the public, reverse
engineered, incorporated into another work, or otherwise exploited, in whole or in part, for any commercial,
training, competitive, or public purpose.

Assetivity Pty Ltd reserves the right to fully protect and enforce its intellectual property rights available
under applicable Australian law, including where there is unauthorised copying, disclosure, use, recording,
publication, or distribution of the Services or Materials.

Breach may result in removal from the course and legal action.

11. Confidentiality

Participants and clients must not:

  • Disclose confidential information shared during training
  • Share proprietary methods, tools, or insights externally

12. Privacy and Data Protection

Assetivity collects, uses, and manages personal information in accordance with its Privacy Policy, which provides detailed information on how data is handled. The Privacy Policy is available on Assetivity’s website
and is referenced at the end of this document. Assetivity will manage personal data in accordance with
applicable Australian privacy laws and regulations.
Personal information may be collected and used for purposes including:

  • Course administration and enrolment management
  • Participant communication and service delivery
  • Certification records and training history

Personal information will not be disclosed to third parties without consent, except where required or
permitted by law.

13. Limitation of Liability

To the maximum extent permitted by law:

  • Assetivity is not liable for:
    › Indirect, incidental, or consequential damages
    › Loss of business, revenue, or opportunity
  • Liability for any claim is limited to the fees paid for the relevant course.

14. Indemnity

  • Breach of these terms
  • Misuse of training materials
  • Unlawful or negligent conduct

15. Force Majeure

Assetivity is not liable for failure or delay in delivering services due to events beyond reasonable control,
including:

  • Natural disasters
  • Government restrictions
  • System failures or outages

Obligations will be suspended for the duration of the event.

16. Digital, Online and Platform Use

Assetivity may use any information collected during the training, including but not limited to photograph,
recordings, company details, feedback scores, course participation statistics, testimonials, or reviews
(where authorised) for marketing and promotional purposes.

  • Where personal information or identifiable content (e.g., names, images, or testimonials) is
    used, prior consent will be obtained from the participant in accordance with applicable privacy
    laws.
  • Participants who do not wish to be included in such materials must notify Assetivity in writing
    prior to the course commencement.

16. Dispute Resoulution

  • Parties agree to attempt resolution in good faith through negotiation
  • Escalation may include mediation before legal proceedings

Governance and Compliance

These Terms & Conditions are governed by the laws of Western Australia, Australia. This document is
reviewed periodically to ensure alignment with:

  • Applicable laws
  • Industry best practice
  • Organisational objectives
